Buyer Terms

Version 2026-11-01

What this is

These terms are between Cliff AI, Inc. ("Cliff") and the person or company that approves an order on Cliff ("you"). Cliff is a marketplace: independent machine shops make and sell custom parts at their own rates, and stores sell bought parts through their own sites. Cliff runs the ordering, files and payments, but is not the seller of any part.

Orders are approved by a person

An order may be prepared by software, including an AI agent working for you. Nothing is ordered until a person approves it on its Cliff page. Before you approve, check the parts, files, materials, quantities, specifications and prices shown: you are responsible for what you approve, and for the authority of the person approving it for your company.

Made parts

Each shop order is a purchase from that shop, which is the seller and is responsible for the parts it makes. The price shown is the shop's price at its rates, plus Cliff's fee of 1% and an amount to cover card processing. A price marked as an estimate can be changed by the shop after it reviews your files; you then accept the new price or cancel, and nothing more is charged until you accept. Lead times are the shop's and start when it accepts.

Bought parts

Store orders are bought at the store's own site, under its terms. Cliff shows the store's listing and a cart link; it does not sell, ship or support those parts, and its listings can be out of date. Check the store's page before you buy.

Payment

Your card is saved with Stripe, Cliff's payment processor, when you approve. For each shop order, the amount is held on your card and charged when the shop accepts the order; it is released if the shop declines or you cancel before it accepts. A hold can lapse after 7 days, in which case your card is charged when the shop accepts. Cliff does not store your card number.

Your files

You keep all rights to your designs and files. You give the shops you order from, and Cliff, permission to use them to analyze, quote, make, inspect and ship your orders, and to keep them as the record of those orders. You confirm you have the right to share them for that purpose.

If a part is subject to export control (for example ITAR or the EAR), you mark it as export controlled before approving. You are responsible for classifying your parts; Cliff sends a marked order only to shops it has confirmed are registered to handle it.

Problems with parts

If a part is wrong or late, tell the shop through the order's page; the shop handles remakes and refunds. Cliff keeps the order's record (files, messages, approvals, tracking) and will help put you in touch. You may also dispute a charge with your card issuer, which the shop answers.

Cliff's analysis

Cliff's plans, checks, findings and estimates help you design and order parts. They are not an engineering approval or certification, and Cliff does not guarantee that a part is fit for your use. You are responsible for the design and its use.

Limits

Cliff provides the marketplace as it is. Cliff is not liable for lost profits or indirect damages, and its total liability to you is limited to the fees it received from your orders in the 12 months before the claim. Nothing here limits what the law does not allow to be limited.

Use

You order only lawful parts for lawful purposes, and you do not use Cliff to send files you have no right to share.

Changes

Cliff may change these terms; the version you accepted applies to the orders you approved under it. Each version is dated; this one is 2026-11-01.

General

These terms are governed by the laws of the State of California, and claims under them are brought in the state or federal courts located in California. If part of them cannot be enforced, the rest still applies. Questions go to shops@cliff.ai.
